Capital. Ownership.
International Solutions.

An advisory practice for family offices, owners of private capital and businesses.

We structure the ownership of assets and funds and support international transactions and corporate projects. We work where the owner’s personal interests, the interests of the business and the requirements of several jurisdictions meet.

Practice areas

Four areas of practice

Area 01 · Ownership and funds

«It is all in my name.
If something happens to me, the business stops»

What we do

A holding company, a foundation or a trust built for the matter: ownership separated from operations, succession written down in advance.

01

Ownership map

What exists today, what risk it creates and which form answers the question.

02

Foundation with protected cells

One foundation instead of ten companies: each asset answers only for itself.

03

Jurisdiction to fit the asset

Mauritius, UAE, Cyprus, Seychelles, Qatar — chosen for the matter, not out of habit.

04

Reporting where you are resident

Participation notices, controlled foreign company rules and tax residency in your home country.

Family offices with assets across jurisdictionsOwners with assets in several countriesFamilies preparing to pass on a businessGroups that need risk and ownership separated

Area 02 · Transactions

«I am selling the business, and across
the table sit a bank and ten lawyers»

What we do

We stand on your side: we check the asset, work out the structure of the deal and write an agreement you will not have to litigate.

01

Selling an asset

Preparation for sale, finding and shortlisting buyers, negotiations, deal structure and support through to settlement.

02

Buying and due diligence

Target selection, full due diligence, risk assessment and its allocation in the agreement, payment structure.

03

Ownership structuring

Holding structures, foundations and trusts, allocation of interests between partners and heirs.

04

Post-closing support

Transfer of assets, change of management, reporting and group reorganisation.

Area 03 · UAE presence

«The company in the Emirates is set up.
Six months on, still no bank account»

What we do

We take the project whole: company, visas, account and product registration. Final settlement comes after the account is open and payments are going through.

01

Company and licence

Free zone or mainland — matched to the actual activity, not to the price of a package.

02

Visas and residency

Owner, family and staff: from the quota to the Emirates ID.

03

Bank and compliance

The company file and the owner’s portfolio. We answer for the account being opened.

04

Getting the product to market

Product registration, labelling, laboratory reports, importer of record and distribution.

Area 04 · Receivables

«We are owed money. The debt is not
disputed. The money still does not arrive»

What we do

We preserve title to the claim and carry the settlement through to money. Without buying the debt and without collection agencies.

01

Reviewing the claim

The basis, the documents, the time limits, the debtor and the payment route.

02

Preserving title

Time limits, succession and security: the claim remains your asset.

03

Placing it under management

A licensed factoring company runs the claim in its own name.

04

Settlement or assignment

Negotiations, the payment route, or assignment of the claim to a third party.

Experience

Experience you can rely on

What follows is what the practice can stand behind: how long we have done this, the sectors, the geography and the jurisdictions we work in regularly.

Over twenty yearsin transactions and ownership structuring
Development, banking, insurance and leasingindustry, mining, forestry assets — sectors where an asset is more than a line on a balance sheet
Dubai, Nicosia and Moscowour own teams; in other jurisdictions, local counsel engaged for the specific matter
Mauritius, UAE, Cyprus, Seychelles, Qatarour principal jurisdictions for structures; chosen to fit the asset, not out of habit

The site shows the approach; how the work is built for your matter is something we go through in conversation.

«

We act for one side and take no fee from the other. Whether to take a matter on is our own judgement, and we say so plainly. The relationship with an owner is built for more than a single transaction.

How we work

Six principles, the same in every area

01

A single point of responsibility

One team runs the matter; you are not passed between providers at every step.

02

We see both sides of the border

A foreign structure shows up in reporting at home. That is weighed when the structure is chosen, not discovered a year later.

03

The whole matter or part of it

Due diligence, ownership structuring, negotiations or a single stage — your choice.

04

We work where the question arose

Our own teams in Dubai, Nicosia and Moscow; local counsel in other jurisdictions.

05

We tell you when we will not act

If the matter has no workable answer, or the risk is out of proportion to the gain, you hear it at the first meeting.

06

Confidentiality

Where appropriate, we can enter into a confidentiality agreement before discussing sensitive information.

Next step

Let's start with your matter

Tell us briefly about your matter. We will agree on an appropriate format for an initial conversation and explore possible ways forward.
